دور الجمعيات العامة للمساهمين في تسيير شركات المساهمة في التشريع الجزائري

Abstract

تعتبر الجمعية العامة للمساهمين أعلى هيئة تسييرية في شركة المساهمة وأقوى سلطة فيها، كونها "السيدة" في اتخاذ عدة قرارات والتي تصل إلى حد أن تكون مصيرية في حياة الشركة. سمحت هذه الأطروحة ببيان صورة نقدية لكافة اختصاصات الجمعية العامة المكرسة في التشريع الجزائري والتي تظهر جليا بعد تأسيس الشركة بدءا من مرحلة نشاطها إلى غاية انقضائها ومن خلال اجتماعاتها التي تكون إما دورية، تمارس فيها الجمعية العامة العادية صلاحياتها التي لا تتعدى المصادقة على السنة المالية للشركة وكذا الإشراف على هيئات الإدارية والرقابية، و إما استثنائية حيث تتدخل الجمعية العامة غير العادية بسلطة التعديل في القانون الأساسي للشركة في كل أحكامه فيظهر دورها الجوهري في إعادة تنظيم شركة المساهمة أو اتخاذ قرار حلها ...................................................................................................................................................................... The general assembly of shareholders is considered the highest governing body, and it has the strongest authority because it is the master in making several decision, which reaches the point of being decisive in the decision of the company. This thesis allowed the statement of critical picture of all speculation of the General Assembly which devoted to Algerian legislation which is evident after establishment of the company, starting from the stage of its activity until it expires and through its meetings which are either periodic, The Ordinary General Assembly exercise its powers that do not exceed the approval of company's financial year as well as supervising the administrative and supervisory bodies or exceptional, where the extraordinary General Assembly intervenes with the authority to amend the basic law of association in all its previous, it shows its essential role in reorganizing the joint stock company or deciding to dissolve it. ..................................................................................................................................................................... L’Assemblée Générale des Actionnaires est l’organisme gestionnaire le plus haut et l’autorité la plus forte dans une société de participation son du fait qu’elle est maîtresse dans la prise de plusieurs décisions qui peuvent être fatidiques dans l’existence de la société. La présente thèse a permis de montrer une image critique de toutes les spécialités de l’assemblée générale consolidées dans la législation algérienne qui apparaissent clairement après la création de la société à compter de la phase de son activité jusqu’à son expiration, l’assemblée générale est ordinaire à travers des réunions périodiques exerçant ses pouvoirs qui se limitent à l’approbation de l’exercice de la société et à l’encadrement des organismes administratifs et de contrôle, et elle est extraordinaire, par son intervention à travers son autorité modificative des statuts dans toutes leurs dispositions où apparait clairement son rôle primordial dans la réorganisation de la société de participation et la prise de la décision de sa dissolution.
